• Engage in any form of market manipulation or fraudulent activity

When using our trading platform, you agree to comply with all applicable trading rules and regulations. You acknowledge that trading financial instruments involves significant risk, including the potential loss of your entire investment.

We reserve the right to suspend or terminate your access to our trading platform if we suspect any fraudulent or manipulative activity, or if we believe your trading activities pose a risk to our platform or other users.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Hikari Nova or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

To the fullest extent permitted by law, Hikari Nova and its affiliates, officers, employees, agents, and partners disclaim all liability for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, our Services, regardless of the legal theory, even if we have been advised of the possibility of such damages.

In any event whatsoever, our total liability shall not exceed the amount you paid us, if any, for access to the Services in the twelve (12) months prior to the claim. If no amount was paid, you agree that you shall have no remedy or recovery against us whatsoever.

To the fullest extent permitted by law, you agree that any claims or disputes between you and Hikari Nova shall be resolved individually, and you expressly waive any right to participate in a class action, class arbitration, or representative proceeding. You may only bring a claim on your own behalf and not on behalf of or in concert with others.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through final and binding arbitration, rather than in court, in accordance with the rules of the Singapore International Arbitration Centre (SIAC) or as appointed by us. The arbitration shall be conducted in English by a single arbitrator, and the seat of arbitration shall be Singapore. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. You and Hikari Nova each waive any right to a jury trial.

Certain features of our Services—specifically automated trading signal execution through API integrations—are not available to users who are residents or citizens of the European Union (EU).

By accessing or using any API-based trading features, you represent and warrant that:

• You are not a resident, citizen, or located within the EU, and

• You understand and accept that using such features while residing in the EU may violate applicable regulations.

We use reasonable technical and contractual measures, including IP detection and user declarations, to prevent access to restricted features by ineligible users. You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction.

Hikari Nova reserves the right to restrict, suspend, or terminate access to certain features if we determine that your use may violate regional laws or regulatory requirements.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use our Services will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, you remain liable for any outstanding obligations related to your use of our Services.

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
